LAWFUL PURPOSES

You agree to use the Site and to purchase services or products through the Site for legitimate, non-commercial purposes only. You shall not post or transmit through the Site any material which violates or infringes the rights of others, or which is threatening, abusive, defamatory, libellous, invasive of privacy or publicity rights, vulgar, obscene, profane, or otherwise objectionable, contains injurious formulas, recipes, or instructions, which encourages conduct that would constitute a criminal offense, give rise to civil liability, or otherwise violate any law.
REFUSAL OF SERVICE
The Services are offered subject to our acceptance of your order or requests. We reserve the right to refuse service to any order, person or entity, without the obligation to assign reason for doing so. No order is deemed accepted by us until payment has been processed. We may at any time change or discontinue any aspect or feature of the Site or Service, subject to us fulfilling our previous responsibilities to you based on acceptance of your payment.
DURATION OF AGREEMENT
Once confirmed, we will provide you access to the purchased Service or product. You agree and understand that access to the Service/product may at times be influenced and affected by third parties that we use to provide the Service (web hosting, membership site plugins, etc.). You agree and understand that no breach of contract action may be initiated against elizabethstapleton.com when there are reasonable delays in the access of the Service.
ElizabethStapleton.com reserves the right to terminate the Service or product, and or access to certain features of the Service or product, with or without prior notice to you. We will make reasonable efforts to provide notice but is not required to do so under the terms of this agreement.
Lifetime Access is for the lifetime of the Service or product. If for any reason, elizabethstapleton.com or any of the products should dissolve or cease to exist, then your access to the Service terminates.
One-Year Access: Some products specify access for only one year for a lower price point than the lifetime access. If you purchase the One-Year Access option, you receive access to the the product with any updates released during the twelve (12) months following your purchase date. At the end of the twelve month period, you access to the product in our course portal ends automatically, unless you choose to renew as described below.
Optional Renewal: If you purchase a one-year access, then approximately 30 days before your one-year access period ends, we will offer you the option to renew access to future updates for a set price billed annually, as long as you choose to continue. This is not an automatic charge. You are not enrolled in any subscription at the time of your original purchase, and no payment method is charged unless you affirmatively accept the renewal offer. You may decline the renewal offer or stop renewing at any time without affecting your right to keep and use anything you have already downloaded or generated.
What you keep regardless of access type/duration: Any template, document, or policy you’ve downloaded or generated using our products before your access period ends is yours to keep and use permanently. The end of your access period only affects your ability to receive further updates and to access the course/portal where our products are hosted. It does not require you to remove, replace, or stop using any documents you have already created using our products.
AI-RELATED PRODUCTS
Some of our products are built to work with third-party artificial intelligence tools and platforms. Examples include skills, plugins, prompts, custom GPTs, automations, and scripts (“AI Products”). AI technology, and the platforms that run it, change quickly and are outside our control. By purchasing or using an AI Product you understand and agree to the following:
1. Delivered as built. An AI Product is delivered in the format, and for the platform, described at the time of your purchase.
2. No guarantee of continued availability or function. Third-party platforms may change, restrict, rename, reprice, or discontinue features, models, or entire product types at any time. We do not guarantee that an AI Product will remain available on, compatible with, or supported by any third-party platform, or that it will keep working or produce the same results, for any period of time.
3. No obligation to update or convert. We may update an AI Product at our discretion. We are not obligated to update, rebuild, replace, or convert an AI Product into a new or successor format, tool, or platform. For example, we are not required to convert a custom GPT into a skill.
4. New formats are new products. If we create a version of a product for a different or successor format or platform, it is a separate product. Buying the original does not entitle you to the new version for free or at a discount, unless we choose to offer that.
5. Lifetime and One-Year Access. For an AI Product, Lifetime Access and One-Year Access mean access to the product materials as described under Duration of Agreement, including any updates we choose to release during your access period. Neither is a promise of ongoing compatibility or support for future platforms.
6. Platform changes are not grounds for a refund. A change or discontinuation by a third-party platform is not a defect in our product and does not create a right to a refund. Our refund policy under Cancellations & Refunds applies.
7. Your accounts and costs. You are responsible for your own accounts, subscriptions, and usage fees with any third-party AI platform, and for following that platform’s terms.
8. AI output is NOT legal advice. Output generated by AI tools can be inaccurate or incomplete. An AI Product is an educational tool. Its output is not legal advice and does not replace review by an attorney licensed in your jurisdiction. You are responsible for reviewing anything an AI Product helps you create before you rely on it or publish it.
CANCELLATIONS & REFUNDS
Due to the nature of the products offered and the legal expertise required for many of the products and our belief in the value provided, we do not offer refunds, unless it is otherwise stated in marketing materials or sales pages for a specific offer or promotion.
Payment Plans. In order to make our products more affordable we do at times offer payment plans, which allow you to split the cost of the product over a number of months. If you select a payment plan you are required to make all payments for the entire payment plan term. Failure to complete all payments will result in access to the product being revoked and any payments already made will be forfeited.
CHANGED TERMS
We may at any time amend these Terms and Conditions. Such amendments are effective immediately upon notice to you by us posting the new Terms and Conditions on this Site. Any use of the Site, Service, or Product by you after being notified means you accept these amendments. We reserve the right to update any portion of our Site, Service, or Product, including these Terms and Conditions, at any time. We will post the most recent versions to the Site and list the effective dates on the pages of our Terms and Conditions.

THE FOREGOING APPLIES EVEN IF ElizabethStapleton.com HAS BEEN ADVISED OF THE POSSIBILITY OF OR COULD HAVE FORESEEN THE DAMAGES. IN THOSE STATES THAT DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR THE DAMAGES, OUR LIABILITY IS LIMITED TO THE FULLEST POSSIBLE EXTENT PERMITTED BY LAW. IN NO EVENT SHALL ElizabethStapleton.com CUMULATIVE LIABILITY TO YOU EXCEED THE TOTAL PURCHASE PRICE OF THE SERVICE YOU HAVE PURCHASED FROM ElizabethStapleton.com, AND IF NO PURCHASE HAS BEEN MADE BY YOU ElizabethStapleton.com CUMULATIVE LIABILITY TO YOU SHALL NOT EXCEED $100.
INDEMNIFICATION
You shall indemnify and hold us harmless from and against any and all losses, damages, settlements, liabilities, costs, charges, assessments, and expenses, as well as third party claims and causes of action, including, without limitation, attorney’s fees, arising out of any breach by you of any of these Terms and Conditions, or any use by you of the Site or Service. You shall provide us with such assistance, without charge, as we may request in connection with any such defense, including, without limitation, providing us with such information, documents, records, and reasonable access to you, as we deem necessary. You shall not settle any third party claim or waive any defense without our prior written consent.
WAIVER
No waiver of any of the provisions of this Agreement by ElizabethStapleton.com shall be deemed, or shall constitute, a waiver of any other provision, whether or not similar, nor shall any waiver constitute a continuing waiver. No waiver shall be binding unless executed in writing by ElizabethStapleton.com.
SEVERABILITY
If any term, provision, covenant, or condition of this Agreement is held by an arbitrator or court of competent jurisdiction to be invalid, void, or unenforceable, the rest of the Agreement shall remain in full force and effect and shall in no way be affected, impaired, or invalidated.
